Welcome to Sellium. These Terms of Service ("Terms") govern your access to and use of the Sellium platform, website, APIs, and related services (collectively, the "Service") provided by Sellium ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

By creating an account, subscribing to a plan, or otherwise using the Service, you represent that you are at least 18 years old, have the legal authority to bind your business, and accept these Terms in full. If you do not accept these Terms, do not use the Service.

Sellium is a multi-tenant software-as-a-service (SaaS) platform that provides e-commerce, marketing automation, AI-powered content generation, ad management, social inbox management, and related tools for direct-to-consumer brands and online retailers. The Service is delivered through the Sellium website and APIs.

The Service, including its software, design, trademarks, logos, and documentation, is owned by Sellium and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service subject to these Terms. You may not reproduce, reverse-engineer, copy, resell, or use the Service to create a competing product.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, NOR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLIUM'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOST BUSINESS OPPORTUNITIES.

You agree to indemnify, defend, and hold harmless Sellium, its officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising from Your Content, your use of the Service, or your breach of these Terms.

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be resolved by binding arbitration in Delaware under the rules of the American Arbitration Association, except either party may seek injunctive relief in a court of competent jurisdiction.
